1. Agreement and scope
Kzen PH Group, Inc. (Kzen PH, we, us, or our) operates business.kzen.ph and related Kzen PH Consultancy resources (the Website). By accessing or using the Website, submitting an inquiry, or using a feature made available through it, you agree to these Terms. If you do not agree, please do not use the Website.
The Website provides information concerning business registration, licensing, permits, compliance, government transactions, and related consultancy services in the Philippines.
2. Eligibility and authority
You represent that you are legally capable of entering into an agreement applicable to your use of the Website and that information you submit is accurate to the best of your knowledge. If you act for a company, organization, client, or another individual, you represent that you have authority to do so. You must not use another person's identity, credentials, documents, or authority without authorization.
3. Lawful and responsible use
You may use the Website only for lawful informational and legitimate business purposes. You must not misuse the Website, interfere with its operation, attempt unauthorized access, introduce malicious code, scrape or probe the Website in a manner that creates unreasonable load or risk, impersonate another person or organization, submit fraudulent or knowingly misleading information, circumvent security controls, or use the Website in violation of applicable law or third-party rights.
4. Informational content and government authority
Website content is general information and does not by itself create a professional engagement, agency relationship, legal representation, accounting relationship, fiduciary relationship, or guarantee of a regulatory outcome. Government agencies and other third parties retain authority over applications, registrations, permits, assessments, inspections, fees, deadlines, approvals, denials, and other decisions.
Requirements, forms, fees, deadlines, procedures, and regulatory interpretations may change. Information published on the Website may not reflect a later government update and should not replace verification of requirements applicable to a particular transaction.
5. Consultancy engagements
Actual consultancy services are governed by the applicable proposal, quotation, engagement letter, service agreement, job order, scope of work, or other written arrangement. Those documents control where they conflict with general Website content or these Website Terms.
Kzen PH may rely on information and instructions reasonably supplied by a client or authorized representative. Unless expressly stated in a separate written agreement, Kzen PH does not guarantee approval, issuance, registration, licensing, tax treatment, government acceptance, processing time, or a particular outcome.
6. Client responsibilities
Clients are responsible for providing accurate, complete, timely, lawful, and authorized information and documents; reviewing material submissions; responding to requests for clarification; paying applicable government and professional fees; meeting deadlines within their control; and notifying Kzen PH of material changes. Delays, additional costs, rejection, or rework may result from incomplete, inaccurate, late, inconsistent, or unauthorized information.
7. Documents, submissions, and authenticity
If you submit documents, personal information, or other content, you represent that you have the right and authority to provide it and authorize its use for the stated purpose. Do not submit forged, fraudulent, stolen, unlawfully obtained, malicious, infringing, or materially misleading content. Kzen PH may suspend processing or decline to act on information that reasonably appears unlawful, unsafe, unauthorized, or unreliable.
You remain responsible for reviewing information before it is used for a filing, payment, submission, or other material action. Where you provide personal information about another person, you should have the appropriate authority, notice, consent, or other lawful basis where required.
8. Fees, government charges, and third-party costs
Unless an applicable written quotation states otherwise, professional fees, government charges, filing fees, documentary costs, courier charges, authentication or notarization costs, bank or payment charges, and other third-party expenses are separate categories and may be subject to change. Government or third-party charges are controlled by the relevant provider and are not controlled by Kzen PH.
9. Electronic communications and records
To the extent permitted by law, electronic communications, confirmations, submitted forms, and authenticated electronic records may be used as evidence of an inquiry, instruction, or transaction. Where a government agency, financial institution, contract, or law requires an original document, notarization, wet signature, physical appearance, or another formal requirement, that requirement remains applicable.
10. Intellectual property
Unless otherwise indicated, Website text, branding, logos, graphics, layouts, original articles, guides, calculators, databases, and other original materials belong to Kzen PH Group, Inc. or their respective rights holders. You receive permission to access and use the Website for its intended purpose; no ownership or other intellectual-property right is transferred. Reproduction, republication, extraction, systematic copying, modification, distribution, or commercial reuse requires appropriate authorization unless otherwise permitted by law.
11. User submissions and feedback
Information supplied through an inquiry or service channel remains subject to the Privacy Policy and any applicable client agreement. You retain rights you already have in your lawful content. By providing feedback or suggestions concerning the Website, you permit Kzen PH to use that feedback without compensation where necessary to improve its services, provided that Kzen PH does not use confidential client information for that purpose without appropriate authorization.
12. External resources and third parties
The Website may reference or link to government agencies, third-party websites, tools, services, payment providers, security services, or other external resources. Those services operate under their own terms and privacy practices. Kzen PH does not control an external provider's independent content, availability, policies, security practices, processing, or decisions, except to the extent required by law or an applicable written agreement.
13. Website availability and maintenance
The Website may be unavailable or degraded because of maintenance, upgrades, security measures, telecommunications problems, hosting or cloud-provider incidents, government-system outages, cyber incidents, or circumstances beyond reasonable control. Kzen PH may modify, suspend, replace, or discontinue Website features when reasonably necessary for operations, security, technology, legal compliance, or service improvements.
14. No unlawful circumvention
You must not attempt to bypass authentication, access controls, rate limits, security features, robots controls, or other technical restrictions; reverse engineer or decompile Website components except where legally permitted; interfere with another user's access; or use automated activity that materially burdens the Website or its infrastructure.
15. Privacy
Personal information submitted through the Website is handled in accordance with the Kzen PH Privacy Policy and applicable Philippine privacy law. Depending on the activity, Kzen PH may act as a Personal Information Controller for information it processes for its own operational, contractual, security, legal, accounting, or compliance purposes, and may act as a Personal Information Processor when processing personal information on documented instructions of a client or other controller.
16. Disclaimers
To the maximum extent permitted by law, the Website and general Website content are provided without a warranty that access will always be uninterrupted, error-free, complete, current, or suitable for every particular purpose. Kzen PH does not warrant that information will always reflect the latest government requirement or that every government transaction or third-party service will be accepted, approved, completed, or processed within a particular period.
Nothing in these Terms excludes or limits a right, remedy, warranty, or liability that cannot lawfully be excluded or limited under Philippine law.
17. Limitation of liability
To the maximum extent permitted by applicable law, Kzen PH will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, including loss of profits, business interruption, loss of opportunity, or reputational harm arising from Website use or an independent action or decision of a government agency or third party.
For a direct claim that may lawfully be limited, Kzen PH's aggregate liability will not exceed the amount actually paid to Kzen PH for the specific consultancy service giving rise to the claim during the three (3) months immediately preceding the event, except where a mandatory legal rule or applicable written agreement provides otherwise.
18. Indemnity to the extent permitted by law
To the extent permitted by applicable law, you agree to be responsible for losses or reasonable costs arising from your unlawful use of the Website, unauthorized submission of another person's information, infringement of third-party rights, fraud, or material violation of these Terms. This provision does not require you to indemnify Kzen PH for Kzen PH's own non-waivable legal liability or misconduct.
19. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines. The parties will first attempt in good faith to resolve disputes through direct communication. If a dispute cannot be resolved informally, it may be brought before a court or other forum having lawful jurisdiction, subject to applicable venue rules, consumer protections, and any separate written agreement.
20. Changes to these Terms
We may update these Terms when the Website, services, technology, security practices, business operations, or legal requirements change. The current version published on this page identifies the applicable Website Terms. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
21. Severability, waiver, and entire agreement
If a provision is invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver of future enforcement. These Terms, the Privacy Policy, Cookie Policy, and any applicable written consultancy agreement constitute the applicable framework for Website use unless a separate written agreement expressly provides otherwise.
